I found KB827664 at technet that has somewhat similar symptoms.

Basically you may need to reset the permissions in services?

NetOPS installed SP4 this weekend and now we are having problems with WIN2k
SQLServerAgent. I get following error when trying to stop or start the
Agent. Any comments would be greatly appreciated.

"an error 5 - (Access is denied) occurred while performing this service
operation on the SQLServerAgent service."
